Lexico helps automate the legal drafting and review process by encouraging you to create a precedent library.
To see your precedent library, click on the icon at the top left. Since we've only just started, our precedent library will be empty.
Since we've only just started, our precedent library will be empty.
To add a document to the library, open the document in MS Word and click the save icon in the top right.
First, select or type a category to store the precedent.
Next, type a name for the precedent and click the save button.
You'll see the precedent has been added to your library.
You'll see a "Questionnaire" heading under the document you added.
Since we added a simple vanilla contract, this is empty.
Lexico lets you convert any Word document into a questionnaire.
This allows users to instantly generate standard documents by answering a simple set of questions.
With the document open in Word, click the "Questionnaire" quill icon in the task pane.
If the document already contains questionnaire items, you'll see these listed out for you.
Your document is probably empty, so start by clicking the "Edit Mode" toggle.
Edit mode lets you create two types of questions - text input, and yes/no questions.
Text inputs are used to insert specific factual details when creating precedents - company names, addresses, numbers of shares, and so on.
Yes/no questions are used to include or exclude whole paragraphs or clauses - for example, "will Company A indemnify Company B?"
To create a question, highlight a passage of text in the main Word document and click the relevant question type in the Lexico task pane.
If you chose a text input, choose an appropriate label for your selection, such as "Company Name" or "Company ACN".
If you chose a yes/no question, write the question in full.
The question you added will then appear in the questionnaire list.
Repeat as many times as you need to create a full questionnaire for the document.
One thing to note - when text is highlighted in edit mode, you can choose to either replace "this instance" or "every instance" of the text.
Selecting "every instance" means the question you create will be linked to every instance of the highlighted text in the document (ignoring upper/lower case).
Questionnaires are embedded, meaning you can always save and open the file as a regular Word document, accessing questionnaires by clicking on the quill icon.
Documents with questionnaires can also be saved to your precedent library.
To generate documents from questionnaires saved to your precedent library, simply select the document from the library drop-down..
...answer every question in the questionnaire...
...and click the generate button.
You now have a new document, fully populated from the questionnaire! Don't forget to save the document before you close.
Next, you'll probably want to understand how the search and review work.
